Terms and Conditions
Effective date: 22 July 2026
These Terms and Conditions apply to your use of the Print Depot website and to all quotations, orders, products, printing, design, signage, installation, delivery, and other services supplied by Print Depot.
By using our website, submitting an order, approving a quotation or proof, making payment, or instructing us to begin work, you confirm that you have read, understood, and agreed to these Terms and Conditions.
Nothing in these Terms and Conditions excludes, restricts, or modifies any right or remedy that cannot legally be excluded under New Zealand law.
1. About Print Depot
In these Terms and Conditions:
- “Print Depot”, “we”, “us”, or “our” means the business operating the Print Depot website and supplying the relevant products or services.
- “Customer”, “you”, or “your” means the individual, company, organisation, partnership, trust, or other entity purchasing products or services from us.
- “Order” includes an order submitted through our website, email, telephone, approved quotation, purchase order, or another method accepted by us.
- “Artwork” includes designs, documents, photographs, logos, text, images, data, files, layouts, illustrations, and other content supplied or approved for production.
- “Proof” means a digital, electronic, printed, or physical representation supplied for customer approval.
- “Business customer” means a customer acquiring products or services in trade and for business purposes.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to place an order.
If you place an order on behalf of a company, organisation, partnership, trust, or another person, you confirm that you have authority to bind that party to these Terms and Conditions.
You are responsible for ensuring that all information provided to Print Depot is accurate, complete, and current.
3. Application of These Terms
These Terms and Conditions apply to all orders unless Print Depot agrees to different terms in writing.
If there is an inconsistency between these Terms and Conditions and an accepted quotation or order confirmation, the following order of priority applies:
- Any special conditions expressly agreed by Print Depot in writing.
- The accepted quotation or order confirmation.
- These Terms and Conditions.
- Our Refunds and Returns Policy.
Terms included in a customer purchase order, supplier form, email footer, or other customer document do not apply unless Print Depot expressly accepts those terms in writing.
4. Product Information
We take reasonable care to describe our products and services accurately. However, photographs, illustrations, mockups, diagrams, samples, product previews, and website images are provided as general representations only.
The appearance of a finished product may vary because of:
- Screen and device settings.
- Printing processes and machinery.
- Paper, material, ink, and toner batches.
- Lighting and photography.
- Coatings, lamination, fabrication, and finishing.
- Reasonable commercial manufacturing tolerances.
Customers must review the product description, size, material, quantity, printing, finishing, and delivery information before submitting an order.
Where a particular characteristic is essential, you must tell us before ordering and obtain written confirmation that we can meet that requirement.
5. Quotations
Unless otherwise stated, quotations remain valid for 30 calendar days from the date of issue.
A quotation is based on the information available when it is prepared. We may revise a quotation if:
- The customer changes the artwork, specifications, quantity, materials, finishing, delivery, or deadline.
- The supplied files require additional preparation or correction.
- Information supplied by the customer was incomplete or inaccurate.
- Supplier, material, freight, or production costs change before the order is accepted.
- An obvious calculation, typographical, or pricing error is identified.
A quotation is not an accepted order and does not reserve stock, materials, machinery time, installation time, or a delivery date unless Print Depot confirms otherwise in writing.
6. Pricing and GST
All website prices and quotations are stated in New Zealand dollars.
Whether GST is included or excluded will be shown on the website, quotation, invoice, or checkout page. The total amount payable, including applicable GST and delivery charges, will be displayed or confirmed before the order is completed.
Additional charges may apply for:
- Artwork preparation or correction.
- Design work and revisions.
- File conversion, bleed, imposition, or setup.
- Proofs and samples.
- Urgent or priority production.
- Special materials or finishing.
- Delivery, redelivery, rural delivery, or installation.
- Storage or handling.
- Changes requested after the order is accepted.
We will obtain approval before performing material additional work that was not reasonably included in the original order.
7. Website Pricing Errors
We may correct an obvious pricing, description, calculation, or technical error before accepting an order.
If an error is identified after an order is submitted but before it is accepted or produced, we may:
- Contact you and offer to proceed at the corrected price.
- Offer a reasonable alternative.
- Cancel the affected order and refund any amount paid for products or services that will not be supplied.
We will not intentionally advertise a price without intending to supply the advertised product on the stated terms.
8. Order Submission and Acceptance
Submitting an order does not automatically mean that Print Depot has accepted it.
An order is accepted when Print Depot:
- Sends written order confirmation.
- Accepts payment and confirms production.
- Begins design, preparation, production, sourcing, or another requested service.
We may decline an order before acceptance where:
- The product, material, or service is unavailable.
- The requested deadline cannot reasonably be met.
- The artwork or intended use is unlawful or unacceptable.
- The order contains an obvious pricing or technical error.
- Payment has not been received or authorised.
- The customer has unpaid overdue accounts.
- We reasonably believe the order may expose Print Depot or another person to legal, safety, financial, or reputational risk.
If we decline an order after receiving payment, we will refund the amount paid for products or services that will not be supplied, subject to any lawful charges for work already authorised and completed.
9. Payment
Unless Print Depot has approved a business credit account in writing, full payment is required before production or supply begins.
Payment must be made using one of the payment methods offered by Print Depot.
You are responsible for:
- Providing correct billing and payment information.
- Ensuring that you are authorised to use the selected payment method.
- Paying all amounts due under the order.
- Paying any bank, currency-conversion, or international transaction fees charged by your provider.
We may suspend production, withhold delivery, or cancel an order if payment is declined, reversed, disputed, or not received when due.
Nothing in this section prevents a customer from exercising a lawful payment dispute or chargeback right.
10. Business Credit Accounts
This section applies only to business customers with an approved Print Depot credit account.
Invoices must be paid by the due date stated on the invoice.
If a business account becomes overdue, Print Depot may:
- Suspend current or future work.
- Require payment in advance for future orders.
- Withdraw or reduce the customer’s credit limit.
- Charge interest at 1.5% per month on overdue amounts, calculated daily.
- Recover reasonable debt collection, legal, court, and enforcement costs incurred because of the overdue account.
Payments received may be applied to the oldest outstanding invoice unless Print Depot agrees otherwise.
11. Customer-Supplied Artwork
The customer is responsible for ensuring that all supplied artwork is accurate, complete, legally authorised, and suitable for the requested production process.
The customer must check:
- Spelling, grammar, names, addresses, and contact details.
- Prices, dates, quantities, and promotional information.
- Page order, orientation, dimensions, and layout.
- Bleed, margins, crop marks, and safe areas.
- Image resolution and quality.
- Fonts, links, transparencies, and effects.
- Colour profiles and colour settings.
- Barcodes, QR codes, numbering, and variable data.
- Copyright, trademarks, licences, and permissions.
- That the files supplied are the correct and final versions.
Unless proofreading, copy checking, or technical artwork repair is expressly included in the order, Print Depot is not responsible for errors contained in customer-supplied artwork.
Files supplied as “print-ready” may be produced without a separate proof.
12. Artwork Requirements
Artwork must comply with the technical requirements published by Print Depot or supplied with the quotation.
We may make minor technical adjustments reasonably required for production, including:
- File conversion.
- Imposition.
- Adding or extending bleed.
- Converting fonts to outlines.
- Flattening transparencies.
- Converting colours to a suitable production profile.
- Adjusting cut, fold, score, or finishing guides.
Technical adjustments do not include proofreading or correcting the customer’s content unless expressly agreed.
Additional artwork charges may apply where files are incomplete, incorrectly prepared, corrupted, unsuitable, or require significant modification.
13. Proof Approval
Where Print Depot provides a proof, the customer must carefully review and approve it before production.
Approval may be provided by:
- Email or written confirmation.
- Website or electronic approval.
- Signature.
- Payment after receiving the proof.
- Another clear instruction to proceed.
By approving a proof, the customer confirms that:
- The content is correct.
- The dimensions and specifications are correct.
- The proof is approved for production.
- Print Depot may rely on the approval.
- The customer accepts responsibility for errors visible or reasonably identifiable in the approved proof.
Print Depot is not responsible for errors appearing in an approved proof unless the finished product materially differs from that proof because of our production error.
Changes requested after approval may:
- Delay production or delivery.
- Require a new proof.
- Require the order to be restarted.
- Result in additional design, setup, material, and production charges.
14. Design Services and Revisions
Where Print Depot provides design or artwork services, the price includes only the work and number of revisions stated in the quotation.
Additional charges may apply for:
- Additional concepts or layouts.
- Revisions beyond the included allowance.
- Changes to an approved concept.
- Rebuilding missing or unsuitable files.
- Supplying editable or production files.
- Urgent or after-hours work.
A revision means a reasonable alteration to the selected design. A substantial change of direction, content, format, size, or scope may be treated as new work.
15. Colour Reproduction
Screen colours, digital proofs, and emailed PDF proofs are not guaranteed to match printed colours exactly.
Colour differences may result from:
- RGB and CMYK colour systems.
- Screen calibration and brightness.
- Paper and material characteristics.
- Ink, toner, substrate, and material batches.
- Printing and finishing processes.
- Coating and lamination.
- Environmental and manufacturing conditions.
Reasonable colour variation between a screen and printed product, or between separate production runs, is not considered a production defect.
Where colour accuracy is essential, the customer must request an appropriate printed proof, colour target, or specialised colour-matching service before production. Additional charges and production time may apply.
16. Commercial Manufacturing Tolerances
Printing, cutting, folding, binding, laminating, fabrication, and finishing processes are subject to reasonable commercial manufacturing tolerances.
Minor variations may occur in:
- Finished dimensions and trimming.
- Image and text position.
- Front-to-back registration.
- Folding, scoring, and perforation position.
- Lamination and coating alignment.
- Binding and page position.
- Colour and print density.
- Material thickness, texture, and appearance.
- The final quantity supplied.
A minor variation that does not materially affect the normal use or overall appearance of the product is not considered a defect.
Requirements for exact quantities, dimensions, colour, registration, finishing, or positioning must be disclosed and accepted by Print Depot in writing before production.
17. Customer-Supplied Measurements
The customer is responsible for the accuracy of measurements, dimensions, quantities, plans, templates, installation details, and site information supplied to Print Depot.
Print Depot is not responsible for products that do not fit or perform as intended because of incorrect or incomplete measurements supplied by the customer or another person acting for the customer.
Where accurate site measurements are essential, the customer should request a site measure or written confirmation from Print Depot before production. Additional charges may apply.
18. Customer-Supplied Materials
Materials, garments, signs, devices, products, paper, or other items supplied by a customer are processed at the customer’s risk.
Print Depot will take reasonable care but does not guarantee that customer-supplied materials will be compatible with the requested production process.
Unless otherwise agreed in writing, Print Depot is not responsible for replacing customer-supplied materials damaged because of:
- An inherent or hidden defect.
- Unknown material composition.
- Material incompatibility.
- Previous treatment or contamination.
- Ordinary setup, testing, or production risk.
- Circumstances outside our reasonable control.
Customers should provide additional materials to allow for reasonable setup, testing, and production spoilage.
19. Production and Subcontracting
Print Depot may use employees, contractors, manufacturers, trade suppliers, couriers, installers, or other third parties to complete an order.
We remain responsible for performing our obligations subject to these Terms and Conditions and applicable law.
Production will not normally begin until:
- The order has been accepted.
- Required payment has been received.
- Suitable artwork has been supplied.
- The proof has been approved, where applicable.
- All necessary specifications and instructions have been confirmed.
20. Production Times
Production and turnaround times are estimates unless Print Depot expressly guarantees a specific date in writing.
Turnaround time begins only after all required payment, artwork, information, and proof approval have been received.
Production times do not normally include:
- Artwork preparation or revisions.
- Time awaiting customer approval.
- Weekends or public holidays.
- Courier or freight delivery time.
- Delays caused by incorrect or incomplete customer information.
Urgent production must be accepted by Print Depot in writing. An urgent fee may apply.
21. Delivery
Delivery times are estimates unless Print Depot expressly agrees to a guaranteed delivery service in writing.
The customer is responsible for providing a complete and accurate delivery address, contact name, telephone number, access instructions, and other relevant delivery information.
Additional charges may apply for:
- Incorrect or incomplete addresses.
- Rural or remote delivery.
- Redelivery.
- Waiting time.
- Special handling.
- Tail-lift, pallet, or oversized freight.
- After-hours delivery.
A delivery may be considered completed where the products are:
- Delivered to the address provided by the customer.
- Accepted by a person at that address.
- Left in an authorised safe location.
- Recorded as delivered by the courier or freight provider.
Customers should inspect delivered parcels promptly and report visible courier damage or missing parcels in accordance with our Refunds and Returns Policy.
22. Collection
Where an order is collected, the customer or authorised person should inspect the order before leaving the collection location.
Print Depot may request identification, order information, or written authorisation before releasing an order to another person.
Orders must be collected within a reasonable time after the customer is notified that they are ready.
23. Risk and Ownership
Consumer Orders
For consumer orders, risk in the products passes to the customer when the products are delivered or collected, subject to applicable New Zealand law.
Business Orders
For business orders, risk passes to the customer when the products:
- Are collected by the customer or the customer’s representative.
- Are handed to the courier or freight provider for delivery.
- Are delivered to the nominated address, depending on the delivery arrangement stated in the order.
Ownership of products remains with Print Depot until all amounts owing for those products have been paid in full.
Until ownership passes, a business customer must:
- Keep the products identifiable as products supplied by Print Depot.
- Keep the products in reasonable condition.
- Not grant a security interest over the products.
- Allow Print Depot to recover the products where legally permitted if payment remains overdue.
24. Uncollected Products
If a completed order is not collected within 30 days after notification, Print Depot may charge reasonable storage and handling costs.
If the order remains uncollected for 60 days, Print Depot may, after making reasonable attempts to contact the customer and subject to applicable law:
- Dispose of the products.
- Recycle the products.
- Sell the products where appropriate.
- Recover reasonable storage, handling, and disposal costs.
Disposal or sale of an uncollected order does not remove the customer’s obligation to pay for authorised custom work already completed.
25. Installation and Site Work
Where Print Depot provides installation or site services, the customer must ensure that:
- The site is safe, accessible, and ready at the agreed time.
- Necessary landlord, council, building, electrical, and other permissions have been obtained.
- Accurate information about surfaces, structures, wiring, pipes, and hidden services has been provided.
- Existing signs, furniture, vehicles, or obstructions are removed where agreed.
- Suitable access, parking, power, lighting, and working space are available.
Additional charges may apply for waiting time, return visits, unsuitable surfaces, unexpected site conditions, additional equipment, access restrictions, or work outside the agreed scope.
Print Depot is not responsible for failure caused by an unsuitable, contaminated, damaged, unstable, recently painted, or incorrectly prepared surface unless Print Depot was responsible for assessing and preparing that surface.
26. Cancellations, Returns, and Refunds
Cancellations, returns, replacements, reprints, account credits, and refunds are governed by our Refunds and Returns Policy:

Because most Print Depot products are custom printed or manufactured, orders cannot normally be cancelled after proof approval or after design, sourcing, preparation, or production has begun.
Nothing in this section limits rights or remedies that cannot legally be excluded.
27. Intellectual Property Supplied by the Customer
The customer retains ownership of intellectual property in artwork supplied by the customer.
The customer grants Print Depot and its production partners a non-exclusive licence to copy, reproduce, modify, process, transmit, store, and use the artwork only as reasonably required to quote, proof, produce, deliver, and administer the order.
The customer confirms that:
- They own the supplied content or have permission to use it.
- Production of the artwork will not infringe copyright, trademarks, privacy, confidentiality, or other rights.
- The artwork is not unlawful, defamatory, misleading, fraudulent, or prohibited.
- All required licences, consents, and approvals have been obtained.
Print Depot may refuse or stop work where we reasonably believe the artwork or intended use may infringe another person’s rights or breach applicable law.
28. Print Depot Intellectual Property
Unless otherwise agreed in writing, Print Depot retains ownership of:
- Website content, branding, graphics, photographs, and product images.
- Initial design concepts and unused designs.
- Templates, layouts, mockups, and design systems.
- Die-lines, impositions, production files, and technical drawings.
- Working files, source files, and editable files.
- Production methods, processes, settings, and know-how.
- Tools, plates, dies, screens, moulds, and other production materials created or sourced by Print Depot.
After full payment, the customer may use the final approved design for the purpose for which it was commissioned, subject to any third-party licence restrictions and any written agreement about ownership.
Editable, native, source, or production files are not included unless expressly stated in the quotation.
29. Artwork and File Storage
The customer is responsible for keeping backup copies of all artwork, documents, data, and files supplied to Print Depot.
Print Depot may retain files for convenience but does not guarantee permanent storage or future availability.
Unless otherwise agreed in writing, we may delete files, proofs, production data, and archived jobs after 90 days.
A reorder may require new artwork, setup, proofing, pricing, or production. Colour, materials, and finishing may vary between separate production runs.
30. Portfolio and Promotional Use
Unless the customer requests confidentiality in writing before production, Print Depot may photograph or display completed work for reasonable portfolio, sample, award-entry, website, or social-media purposes.
We will not intentionally publish confidential, sensitive, embargoed, or personal information where the customer has notified us in writing that the material must remain confidential.
31. Confidential Information
Each party must take reasonable care to protect confidential information received from the other party.
Confidential information does not include information that:
- Is publicly available through no breach of these Terms.
- Was already lawfully known to the receiving party.
- Is independently developed without using the confidential information.
- Must be disclosed by law, court order, or regulatory requirement.
Print Depot may disclose information to employees, contractors, suppliers, professional advisers, payment providers, couriers, and service providers where reasonably necessary to complete or administer an order.
32. Website Accounts
If you create an account on our website, you are responsible for:
- Providing accurate account information.
- Keeping your password confidential.
- Restricting unauthorised access to your account.
- Informing Print Depot promptly if you suspect unauthorised use.
You are responsible for activity performed through your account unless the activity resulted from a security failure caused by Print Depot.
We may suspend or close an account where reasonably necessary to protect the customer, Print Depot, the website, or another person.
33. Acceptable Website Use
You must not:
- Use the website for an unlawful, fraudulent, or abusive purpose.
- Attempt to gain unauthorised access to the website, server, account, or data.
- Introduce malware, viruses, harmful code, or automated attacks.
- Interfere with the operation or security of the website.
- Copy, scrape, republish, or commercially exploit website content without permission.
- Use another person’s account or identity without authority.
- Submit false, misleading, defamatory, infringing, or prohibited content.
We may restrict or terminate access where these requirements are breached.
34. Website Availability
We take reasonable steps to keep the website accurate, secure, and available. However, we do not guarantee that the website will always operate without interruption, delay, technical errors, or security incidents.
Website access may be suspended for:
- Maintenance and updates.
- Security reasons.
- Technical failures.
- Events outside our reasonable control.
We are not responsible for a customer’s internet connection, device, browser, software, or third-party service.
35. Third-Party Websites and Services
Our website may contain links to third-party websites, payment services, social-media platforms, plugins, courier tracking systems, or other external services.
Print Depot does not control those third-party services and is not responsible for their content, availability, privacy practices, security, or separate terms.
Customers should review the applicable third-party terms and privacy policies before using those services.
36. Privacy
Print Depot collects and uses personal information for purposes including:
- Processing quotations and orders.
- Providing customer service.
- Taking and processing payment.
- Producing and delivering products.
- Managing accounts and records.
- Preventing fraud and maintaining security.
- Meeting legal and regulatory obligations.
- Sending marketing communications where permitted.

37. Consumer Rights
Where products or services are acquired for personal, domestic, or household use, the customer may have rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, and other applicable New Zealand legislation.
Nothing in these Terms and Conditions excludes, restricts, or modifies:
- A consumer guarantee.
- A remedy available to a consumer.
- Liability for misleading or deceptive conduct.
- Any other right or liability that cannot legally be excluded or limited.
38. Business-to-Business Contracting Out
This section applies where the customer acquires products or services from Print Depot in trade and for business purposes.
The business customer confirms that it is acquiring the products or services in trade.
To the maximum extent permitted by law, the parties agree in writing that:
- The Consumer Guarantees Act 1993 does not apply to the order.
- The parties contract out of the Consumer Guarantees Act 1993.
- The exclusion is fair and reasonable.
- The parties contract out of the Fair Trading Act 1986 only to the extent legally permitted for parties in trade and only where it is fair and reasonable.
- Any warranties, conditions, or remedies implied by law are excluded to the extent they may legally be excluded.
Nothing in this section contracts out of fraud, wilful misconduct, or any obligation that cannot legally be excluded.
39. Limitation of Liability
Consumer Customers
For consumer customers, Print Depot’s liability is not excluded or limited where doing so would breach the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or another applicable law.
Business Customers
For business customers, and to the maximum extent permitted by law, Print Depot’s total aggregate liability arising from or connected with an order is limited to the amount paid by the customer for the specific products or services giving rise to the claim.
Print Depot is not liable to a business customer for indirect, special, incidental, or consequential loss, including:
- Loss of profit, revenue, contracts, business, or opportunity.
- Loss of anticipated savings.
- Loss of data.
- Loss of goodwill or reputation.
- Advertising, marketing, or campaign costs.
- Event, venue, accommodation, travel, or staffing costs.
- Installation, removal, or replacement costs incurred without our approval.
- Third-party claims, penalties, or contractual liabilities.
- Loss arising from a missed event, promotion, launch, meeting, tender, or deadline.
Where Print Depot accepts a valid business claim, we may satisfy our liability by:
- Correcting or completing the work.
- Reprinting or replacing the affected products.
- Providing an account credit.
- Refunding the amount paid for the affected portion of the order.
This limitation does not apply to fraud, wilful misconduct, or liability that cannot legally be excluded or limited.
40. Customer Responsibility for Loss
Print Depot is not responsible for loss or damage caused by:
- Incorrect or incomplete customer instructions.
- Customer-supplied artwork errors.
- Errors appearing in an approved proof.
- Incorrect customer-supplied measurements.
- Misuse, alteration, poor storage, or unsuitable installation.
- Failure to follow care, storage, or installation instructions.
- Normal wear and tear.
- Undisclosed product use or environmental exposure.
- Acts or omissions of a courier, installer, contractor, or another third party outside Print Depot’s reasonable control.
This section is subject to any liability that cannot legally be excluded.
41. Business Customer Indemnity
A business customer indemnifies Print Depot against direct loss, damage, liability, and reasonable legal costs arising from:
- A breach of these Terms and Conditions by the business customer.
- Unlawful, defamatory, misleading, or infringing customer-supplied artwork.
- A claim that customer-supplied content infringes copyright, trademarks, privacy, confidentiality, or another person’s rights.
- Incorrect measurements, specifications, instructions, or site information supplied by the business customer.
- Use of the products for an unlawful, unsafe, undisclosed, or unsuitable purpose.
The indemnity does not apply to the extent that the loss was caused by Print Depot’s fraud, wilful misconduct, or breach of an obligation that cannot legally be excluded.
42. Events Outside Our Reasonable Control
Print Depot is not responsible for delay or failure caused by an event outside our reasonable control, including:
- Fire, flood, earthquake, storm, or natural disaster.
- Pandemic, epidemic, or public-health restrictions.
- War, terrorism, civil unrest, or government action.
- Strikes, industrial disputes, or transport disruption.
- Courier or freight interruption.
- Supplier failure or material shortages.
- Equipment breakdown.
- Power, telecommunications, software, internet, or system failure.
- Import, customs, border, or shipping delays.
Where such an event occurs, we may reasonably:
- Extend the production or delivery time.
- Substitute a reasonably equivalent material with customer approval where appropriate.
- Suspend the affected work.
- Cancel the affected portion of an order if performance becomes impossible or commercially impracticable.
If an affected order is cancelled, we will refund amounts paid for products or services that will not be supplied, less any amounts lawfully payable for authorised work already completed or non-recoverable custom costs, subject to applicable law.
43. Suspension or Termination
Print Depot may suspend or terminate an order where:
- Payment is overdue or reversed.
- The customer materially breaches these Terms.
- The customer fails to provide required artwork, information, access, or approval.
- The requested work is unlawful or unsafe.
- Continuing the order would expose Print Depot or another person to material legal, financial, safety, or reputational risk.
- The customer becomes insolvent, enters liquidation, receivership, or administration, or is unable to pay debts when due.
Before termination, we will give reasonable notice and an opportunity to remedy the issue where it is reasonable and lawful to do so.
The customer remains responsible for authorised work completed and non-recoverable costs incurred before suspension or termination.
44. Dispute Resolution
If a dispute arises, the customer should contact Print Depot promptly and provide:
- The order or invoice number.
- A clear description of the issue.
- Relevant artwork, proofs, photographs, and correspondence.
- The remedy requested.
Both parties agree to attempt to resolve the dispute in good faith before starting formal proceedings, except where urgent relief is required.
Nothing in this section prevents a consumer from contacting Consumer Protection, the Commerce Commission, the Disputes Tribunal, or another appropriate authority.
45. Electronic Communications
You agree that quotations, invoices, proofs, approvals, notices, and other communications may be sent electronically.
An email or electronic approval sent from an address or account used by the customer may be treated as authorised unless Print Depot has been notified that the account is compromised.
The customer is responsible for monitoring the email address supplied with the order, including spam and junk folders.
46. Changes to These Terms
Print Depot may update these Terms and Conditions from time to time.
Updated terms will apply to website use and orders submitted after the updated terms are published.
Changes will not retrospectively alter an accepted order unless:
- The parties agree in writing.
- The change is required by law.
- The change is administrative and does not materially reduce the customer’s rights.
47. Assignment
The customer must not transfer an accepted order or its rights under these Terms without Print Depot’s written consent.
Print Depot may assign or transfer its rights and obligations as part of a genuine business sale, restructuring, or transfer, provided that doing so does not materially reduce a consumer customer’s rights.
48. No Waiver
If either party delays or fails to enforce a right, that does not mean the right has been waived.
A waiver is effective only when clearly confirmed in writing.
49. Severability
If any provision of these Terms is found to be illegal, invalid, or unenforceable, that provision will be read down or removed to the minimum extent necessary.
The remaining provisions will continue to apply.
50. Entire Agreement
These Terms, the accepted quotation or order confirmation, and the policies referred to in them form the agreement between the customer and Print Depot concerning the relevant order.
This section does not exclude liability for misleading representations or other conduct that cannot legally be excluded.
51. Governing Law
These Terms and Conditions are governed by the laws of New Zealand.
The parties submit to the non-exclusive jurisdiction of the New Zealand courts and tribunals.
